Membership & Curriculum License

The rules that let an active member use Melodic Motion curriculum in paid, independently operated live classes without transferring ownership of the creative work.

Draft dated July 15, 2026. This document must be conformed to the actual providers and platform operations before it becomes operative.

Plain-language summary

An active membership licenses one approved member business to teach live, in-person classes. It does not permit account sharing, redistribution, recorded classes, multiple instructors, franchise branding, or continued commercial use after cancellation.

1. Agreement and account eligibility

This Membership & Curriculum License (“License”) is between Melodic Motion LLC, an Arkansas limited liability company (“Melodic Motion,” “we,” “us,” or “our”), and the adult person or entity accepting it (“Member,” “you,” or “your”). You must be at least 18 and legally able to contract. If accepting for an entity, you represent that you can bind it.

This License becomes operative only when presented at the final enrollment checkout and affirmatively accepted. Your account is personal to the named Member or approved entity. Login credentials may not be shared. You are responsible for account activity and must promptly report suspected unauthorized access.

2. Membership, payment, and access

Enrollment is planned at $197, consisting of the credited $50 Founding reservation and a separately authorized $147 balance. Continued Founding access is planned at $14.99 per month while continuously active. The final checkout will state the price, billing interval, taxes, renewal terms, cancellation method, and any refund window before you authorize payment.

Access begins after successful payment and acceptance. Membership continues until cancelled or terminated. We may use third-party platforms to deliver content and may reasonably modify organization, format, vendors, or features while preserving the material value of the paid offering.

3. Limited commercial class-use license

While your membership is active and in good standing, Melodic Motion grants you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to access the member materials and use designated curriculum, songs, recordings, guides, activities, and visuals to lead live, in-person music-and-movement classes through one independently owned and operated business controlled by you.

The license permits you to charge participants for those live classes. It does not transfer ownership, grant exclusivity or a territory, or permit use after membership ends. Expansion to employees, contractors, multiple instructors, multiple businesses, recorded classes, livestreaming, institutional deployment, resale, or another commercial format requires separate written permission or a plan expressly covering that use.

4. Permitted supporting use

  • download designated files for your own authorized preparation and reliable offline playback;
  • display designated class visuals to enrolled participants during an authorized live class;
  • provide designated parent-facing materials to families enrolled in the corresponding authorized class, subject to any distribution instructions;
  • use approved factual attribution or trademark language supplied by Melodic Motion; and
  • make ordinary adjustments necessary for accessibility, space, group energy, and individual participation without distributing a derivative curriculum.

5. Required class format and insurance

Authorized classes must be taught live and in person. Online, virtual, hybrid, livestreamed, recorded, on-demand, replay, and resale formats are not permitted without a separate written license.

A parent, guardian, or other responsible adult must attend with each child and participate throughout the class. Authorized classes are not drop-off programs and may not be offered or operated as childcare.

Before teaching your first authorized class, you must obtain and maintain general liability insurance appropriate for your business and class activities. You are responsible for selecting the carrier, limits, endorsements, and other coverage suitable for your circumstances and for satisfying any venue or legal insurance requirements.

6. Prohibited use

You may not, without express written permission:

  • share credentials or provide platform access to another instructor, business, venue, school, organization, or household;
  • copy, upload, publish, email, sell, rent, sublicense, give away, or distribute member-only songs, recordings, videos, guides, frameworks, or files except as expressly designated;
  • record, livestream, rebroadcast, monetize, or create on-demand classes incorporating the materials;
  • extract or distribute audio, remove rights notices, bypass access controls, scrape the platform, or facilitate unauthorized downloads;
  • translate, adapt, compile, or use the materials to build, train, market, or sell a competing curriculum, content library, model, dataset, or product;
  • use Melodic Motion™, its logos, characters, lesson names, or other marks as your business name, location name, domain, social handle, or source-identifying brand;
  • claim certification, endorsement, agency, employment, franchise status, exclusivity, guaranteed results, or authority to represent Melodic Motion; or
  • use the materials unlawfully, unsafely, deceptively, or in a manner likely to harm children, families, Melodic Motion, or its licensors.

7. Ownership and feedback

Melodic Motion and its licensors retain all right, title, and interest in the curriculum, selection and arrangement, songs, recordings, lyrics, guides, videos, artwork, characters, frameworks, trademarks, platform, downloads, and related intellectual property. All rights not expressly granted are reserved.

If you voluntarily provide suggestions or feedback, you grant us a perpetual, worldwide, royalty-free right to use it without identifying you or creating an obligation to implement or compensate for it. Testimonials, photographs, names, likenesses, and success stories require separate permission before public promotional use.

8. Independent business; no franchise or agency

You own and operate your business independently. This License does not create employment, agency, partnership, joint venture, fiduciary, franchise, distributorship, certification, or representative status. You receive no territory, branded location, prescribed prices, required schedule, or authority to bind Melodic Motion.

You independently control your business name, prices, venues, schedule, class format, marketing, expenses, and growth, subject only to this limited content license. You are responsible for entity formation, permits, taxes, insurance, background checks, waivers, music-performance licensing outside the licensed materials, accessibility, advertising, privacy, child safety, emergency procedures, and compliance with applicable law.

9. Class safety and participant responsibility

You are responsible for evaluating the environment, equipment, movements, participant needs, supervision, and emergency procedures for every class. Curriculum adaptations and safety notes are general educational guidance, not medical, therapeutic, legal, or individualized professional advice.

You must obtain any permissions or releases required for participation, photography, video, communications, and use of participant information. Do not upload children’s personal information or media to Melodic Motion or the member community unless an approved feature and written process expressly permits it.

10. Community and acceptable conduct

Community access is for lawful, professional collaboration. You may not harass, threaten, discriminate, impersonate, spam, solicit unlawfully, disclose confidential or child information, infringe rights, scrape member data, or redistribute community content outside its intended context. We may moderate or remove content and restrict access to protect members, families, rights, and platform integrity.

11. Updates, availability, and third parties

We may add, revise, replace, correct, reorganize, or retire materials and features. We do not promise a fixed number of future additions or permanent availability of a particular third-party vendor. Material reductions to the core paid offering will be addressed through notice, a substitute of reasonably comparable value, credit, cancellation right, or other remedy appropriate under the circumstances.

Third-party services may have separate terms and privacy policies. We are not responsible for a member’s separate relationship with venues, payment providers, business vendors, customers, or unrelated third parties.

12. Cancellation, suspension, and termination

You may cancel as stated in the Refund & Cancellation Policy. When paid access ends, this commercial license ends and you must stop using member materials and delete downloaded copies except records or files expressly designated as permanently retainable.

We may suspend or terminate for nonpayment, fraud, security risk, material breach, infringement, credential sharing, unlawful or unsafe conduct, threats, harassment, or conduct reasonably likely to harm the platform or others. We may use technical and legal measures to protect the materials. Sections concerning ownership, restrictions, accrued payment obligations, disclaimers, indemnity, liability, and general terms survive as applicable.

13. Disclaimers and no earnings promise

We do not promise business formation, venue access, enrollment, revenue, income, profit, or any particular outcome. Any calculator output is generated solely from figures entered by the user and is not a representation of actual, average, expected, or typical results. The curriculum and business resources are educational and are not legal, tax, accounting, insurance, medical, therapeutic, licensing, child-safety, or financial advice.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. Nonwaivable rights remain unaffected.

14. Indemnity and limitation of liability

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Melodic Motion LLC and its owners, officers, employees, contractors, licensors, and providers from third-party claims, damages, losses, liabilities, judgments, and reasonable attorneys’ fees arising from your classes or business, participants, venues, employees or contractors, marketing, legal violations, misuse of materials, or breach of this License, except to the extent caused by the indemnitee’s gross negligence, willful misconduct, or liability that cannot lawfully be limited.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE RELEASED PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOST PROFITS OR REVENUE, LOST DATA, BUSINESS INTERRUPTION, PERSONAL BUSINESS EXPENSES, OR LOSS OF GOODWILL. AGGREGATE LIABILITY ARISING FROM THE MEMBERSHIP WILL NOT EXCEED THE AMOUNT YOU PAID TO MELODIC MOTION DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply where prohibited by law.

15. Arkansas law and general terms

Arkansas law governs, without regard to conflict-of-law principles. Lawsuits must be brought in a state or federal court located in Arkansas, subject to eligible small-claims proceedings and nonwaivable consumer rights. You consent to electronic records and signatures.

You may not assign this License without written consent. We may assign it with a merger, reorganization, financing, sale, or transfer of the business if the assignee assumes our obligations. Delay in enforcement is not waiver. Unenforceable provisions are limited or severed to the minimum extent necessary. Events beyond reasonable control excuse delay but not remedies that law requires. This License, checkout disclosures, and incorporated policies are the complete agreement concerning membership and supersede prior statements on that subject.
